FOR VALUABLE CONSIDERATION OF TEN DOLLARS and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, Buyer and C&C Properties Group USA, LLC, with a mailing address of 500 Westover Dr #33121, Sanford, North Carolina 27330 (herein “Seller”), do hereby covenant, contract, and agree as follows:

AGREEMENT TO SALE AND PURCHASE

Seller agrees to sell, and Buyer agrees to buy from Seller the property as described in the applicable Parcel ID and Legal Description (see Exhibit ‘A’). All property sold under this agreement is referred to as the “Property.”

SALES PRICE

The parties agree to a Purchase Price, Down Payment, and Balance Due as specified in the individual buyer’s contract documents.

FINANCING

Two financing options apply depending on the buyer’s arrangement:

CASH SALE: The contract is not contingent on financing. Full payment is due at closing.

OWNER FINANCING: Seller agrees to finance a portion of the purchase price pursuant to a Promissory Note and Land Sale Contract. The Note bears interest at 0% per annum, payable over an agreed term in monthly installments, plus a $10 Note Servicing Fee and estimated monthly property taxes. The first payment date is specified in the buyer’s individual contract.

DOWN PAYMENT AND PROCESSING FEE

Buyer deposits a down payment with C&C Properties Group USA, LLC. A one-time processing/documentation fee is also due at signing. Receipt of both the down payment and processing fee is acknowledged upon execution of this agreement.

PROPERTY CONDITION

Buyer represents that they have personally inspected and examined the Property and accept it in its “as-is” and present condition. This Property is covered by a 60-Day Satisfaction Guarantee as described in Section 24 of this Agreement.

UTILITIES

The present condition of all utility access to the Property is accepted by Buyer. Seller makes no representations regarding wetlands, flood zones, soil conditions, or environmental factors. Buyer is encouraged to perform any inspections or due diligence they deem necessary. Seller knows of no hazardous substances, petroleum products, or underground storage tanks on the Property.

CLOSING

The closing of the sale will occur on or before the date specified in the buyer’s individual contract, unless extended pursuant to the terms herein. Closing may be extended up to 7 days after objections to title matters have been cured, or by written agreement of both parties.

TITLE AND CONVEYANCE

Seller will convey title to Buyer by Warranty Deed. Seller shall satisfy all outstanding mortgages, deeds of trust, and special liens prior to or at closing. Title shall be good and marketable, subject only to:

(a) Covenants, conditions, and restrictions of record (b) Public and private utility easements, roads, and rights-of-way (c) Applicable zoning ordinances, protective covenants, and prior mineral reservations (d) Special and other assessments on the Property, if any (e) General taxes for the current year and subsequent years

A title report will not be provided to Buyer at closing. Buyer may elect to conduct their own title search at their own expense. If title defects are discovered, Seller shall notify Buyer within 5 days of closing. Buyer may then: (a) cancel the contract and receive a full refund of earnest/down payment monies, (b) accept title as-is, or (c) permit Seller a reasonable time to perform curative work at Seller’s expense, with the closing date extended accordingly.

For seller-financed transactions, Seller holds the Title Warranty Deed until the Property is completely paid in full. Seller warrants that the Property Title will remain free from any loans, liens, or encumbrances throughout the payment period. Upon full payoff, Seller will record the Warranty Deed with the applicable county within 30 days.

Any appraisal of the Property is the sole responsibility of the Buyer. A survey is not required.

POSSESSION AND TITLE

Prior to closing, the Property shall remain in the possession of Seller.
